ENTIRE AGREEMENT
Other than as specifically provided in any separate formal purchase agreement between you and AURAL EXCHANGE, these terms and conditions (this “Agreement”) apply to all of your online purchases from Aural Exchange via auralexchange.com or via a quotation or purchase order and may NOT be altered, supplemented, or amended by you through the use of any other document(s). Any attempt to alter, supplement, or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both you and AURAL EXCHANGE.
ACCEPTANCE
By purchasing products from AURAL EXCHANGE, you agree to be bound by and accept this Agreement. Orders are not binding upon AURAL EXCHANGE until accepted by AURAL EXCHANGE. We reserve the right to refuse service to anyone. AURAL EXCHANGE will indicate its preliminary acceptance of an order by acknowledging your order by reply email and final acceptance by shipping the ordered items to you. Any problems with pricing or availability of a product will be transparently communicated to the purchaser within 48 working hours and said order cancelled and refunded within 10 working days.
PRICING
Because prices, product descriptions, and availability can change quickly, AURAL EXCHANGE does not warrant the accuracy or completeness of the information provided on the Site. For more on our pricing policies, please refer to our Site Terms of Use.
MRP is the manufacturer’s suggested retail price. We may commonly sell products at prices lower than MRP and, for any given product, no sales may have occurred at MRP.
MRP is a benchmark to compare our discounts from MRP to pricing offered by other retailers. Whether other retailers sell at MRP will vary by product, geographic location, type of store, and over time.
Although our limited time events are intended to be limited time events, our low prices offered during these events may continue in effect after the event.
Values associated with items labeled “free with purchase” are based upon MRP.
TYPOGRAPHICAL ERRORS
In the event that a product or service is mistakenly listed at an incorrect price, Aural Exchange reserves the right to refuse or cancel any orders placed for product or service at the incorrect price. Aural Exchange reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your online payment method charged. If your payment has already been charged for the purchase and your order is cancelled due to an incorrect price, Aural Exchange will initiate a credit to your payment account in the amount of the incorrect price within 48 working hours. The payment reversal will be routed via the payment gateway and credited to the purchaser within 10 business days.
PAYMENT TERMS—ORDERS
Internet orders may be paid for using the following methods: VISA, MasterCard, NEFT, Cheque, Direct Cash Deposit. If you cannot place an order online, just email [email protected]. Cash can be directly deposited into our bank account.
LIMITED QUANTITIES
Some products, including those identified as Hot Buys, Closeouts, Limited Quantity items, and Free Gifts may be limited to stock on hand and are offered on a first come, first served basis.
SHIPPING CHARGES—TAXES AND TITLE
Separate charges for shipping and handling will be shown on your order form. Most orders received before 2:00 p.m. IST Monday through Saturday, are shipped on the same day! Orders placed on Sundays, or holidays will be processed the next business day. As a security precaution, initial orders and orders shipping to alternate addresses may be held for extended verification. We reserve the right to make partial shipments, which will not relieve you of your obligation to pay for the remaining deliveries.
All items purchased from AURAL EXCHANGE are made pursuant to a shipment contract. This means that the risk of loss and title for such items passes to you upon our delivery to the carrier.
A separate charge for taxes will be shown on the invoice. We are required to collect GST of 5-18% on all orders shipped to all Indian states. This tax is included in the prices displayed on our website.
LIMITED WARRANTY

AURAL EXCHANGE PROVIDES NO SEPARATE WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AURAL EXCHANGE EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS REGARDING ANY PRODUCTS SOLD TO YOU, WHETHER EXPRESS, IMPLIED OR STATUTORY, AND INCLUDING BUT NOT LIMITED TO ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

Buy with confidence. If you find a lower advertised price from any authorized Indian dealer before or after the sale, call or email us. We’ll beat any verifiable advertised price by atleast 3% of the difference. If you’ve already purchased from us and find a lower advertised price within 10 days of your purchase, contact us via phone or email and we’ll refund the difference after verification.
For Internet requests, please contact us at online support and have the competing website address (preferably the specific product page URL) included for our representative. We’ll verify the online pricing and product description, brand name, availability, and relative price and product specifications. Due to manufacturer restrictions, some products are excluded from this guarantee. Please ask a sales representative for details or contact us at online support. Advertised items must be factory-sealed new product. Demo models, factory seconds, sale items, discontinued merchandise, and floor samples not included. Items must be in-stock, advertised, and verifiable on the web or in a local or national paper, magazine, or catalog by an authorized dealer (you may be required to email or fax a copy of the competitor’s offer). AURAL EXCHANGE only accepts returns made within the first 30 days from delivery. If the mutually agreed resolution is a full or partial refund, this will be credited to customer account within 5-7 business days of the product being received at one of our facilities.
TERMS AND CONDITIONS FOR RETURN OF MATERIALS SUPPLIED:
- AURAL EXCHANGE.com only accepts returns made within the first thirty (30) days after delivery.
- AURAL EXCHANGE won’t accept the returned item without the return’s form.
- All return items must include original packaging along the owner’s manual, warranty card and should not show any wear or abuse with the product.
- It is mandatory to include the invoice copy along with the returning package/ item. In case you do not have the invoice copy contact AURAL EXCHANGE Customer Support for invoice related query.
OUT OF STOCK ITEMS
We usually stock 100% of what we sell. However from time to time, stock shortages may occur. If an item is out of stock, we will notify you by email with an approximation of when the item is expected to arrive. If this time is over 10 working days, we will automatically issue a complete refund and place your order on hold. The refund is processed within 7 working days. For orders with multiple products we will, at your request, ship what is currently in stock and ship the back ordered item when it arrives at no additional cost.
RISK ALLOCATION, REGULATORY COMPLIANCE, AND LIABILITY DISCLAIMER
1. Status of Supplier
Aural Exchange (“Supplier”) acts solely as a materials supplier. The Supplier does not act as a contractor, subcontractor, installer, fabricator, consultant, engineer, or project manager, and does not undertake any construction, execution, supervision, coordination, or site-related activities of any kind unless expressly agreed in writing.
No agency, partnership, joint venture, or contractual relationship beyond sale of goods is created by the supply of Products.
2. Scope of Supply
The Supplier’s scope is strictly limited to the sale and delivery of acoustic materials, soundproofing products, thermal insulation products, boards, panels, membranes, and accessories (“Products”). No services—whether design, engineering, installation, supervision, testing, commissioning, or statutory approvals—are included.
3. No Contracting Responsibility
The Supplier shall not be deemed a contractor or subcontractor under any applicable law, including labour laws, contract laws, or building regulations. All construction, installation, fixing, handling, storage, and use of Products are entirely outside the Supplier’s scope and control.
4. Technical Information Disclaimer
All technical data, specifications, test reports, drawings, and recommendations are provided for reference only and do not constitute construction drawings, execution instructions, or professional advice. The Supplier does not warrant fitness of Products for any specific project, method of installation, or regulatory environment.
5. Installation, Fixings, and Workmanship
All installation-related decisions—including selection of screws, anchors, adhesives, supports, spacing, and fixing methodology—are the sole responsibility of the customer and its appointed contractors or installers.
The Supplier shall not be liable for any failure, detachment, collapse, damage, or safety incident arising from poor workmanship, incorrect fixings, inadequate supports, or improper installation.
6. Structural and Load Responsibility
Unless expressly stated otherwise, Products are non-structural and non-load-bearing. Any structural impact, imposed loads, or support requirements must be assessed and approved by a licensed structural engineer appointed by the customer.
The Supplier disclaims all liability for structural adequacy, load transfer, deflection, vibration, or collapse.
7. Fire Safety and Regulatory Compliance
All products supplied are accompanied by available technical data sheets that describe the product’s fire behavior and reference the relevant laboratory fire test standards under which the product has been evaluated by the manufacturer, where applicable (for example, BS 476 Parts 4/6/7, EN 13501-1, ASTM E84, UL 94, ISO 5660). Underlying test reports and certifications are retained by the manufacturing facilities and are not issued as statutory, regulatory, or project-specific approvals. Reference to a test standard or fire classification does not constitute a representation or warranty that the product is approved for use in every building, occupancy type, or jurisdiction. Fire safety requirements in India are governed by applicable laws, including but not limited to the National Building Code of India (NBC), local municipal regulations, state fire service rules, and conditions imposed by the authority having jurisdiction (AHJ).The customer, client, project consultant, architect, contractor, fire safety consultant, fire engineer, MEP Consultant, or end user shall be solely responsible for determining the suitability of the product for the intended application and for obtaining all required fire safety approvals, no-objection certificates (NOCs), permits, and statutory clearances prior to installation or use. This includes compliance with project-specific requirements, occupancy classifications, means of egress provisions, and installation conditions.
The supplier shall not be held liable for any non-compliance, rejection, penalty, delay, loss, or damage arising from regulatory interpretation, authority decisions, site conditions, method of installation, or use of the product beyond its tested or certified scope. Under no circumstances shall the supplier be responsible for securing fire approvals or regulatory permissions on behalf of the customer unless expressly agreed in writing.
Product fire behavior is based on laboratory tests under controlled conditions. Acceptance by fire authorities depends on project type, occupancy, installation location, and authority interpretation. The customer is solely responsible for compliance with all applicable laws, including the National Building Code of India (NBC), state fire service rules, municipal regulations, and insurer requirements, and for obtaining all required fire NOCs and statutory approvals.
8. No Life-Safety Representation
Unless expressly stated in writing, Products are not supplied as life-safety systems or components. The Supplier makes no representation regarding suitability of Products for life-safety or critical applications.
9. Site Conditions and Third-Party Actions
The Supplier shall not be responsible for failures or damage caused by site conditions, environmental exposure, misuse, alteration, overloading, or actions of third parties after delivery.
10. Insurance and Risk Allocation
The customer and its contractors shall maintain all necessary insurances for works, materials, personnel, and third-party risks. The Supplier is not responsible for insuring Products once delivered.
11. Limitation of Liability
To the maximum extent permitted under Indian law, the Supplier’s total liability arising out of the sale of Products shall be strictly limited to the invoice value of the Products supplied.
The Supplier shall not be liable for indirect, incidental, consequential, or third-party losses, including project delays, penalties, loss of profit, or business interruption.
12. Indemnity
The customer agrees to indemnify and hold harmless the Supplier from all claims, losses, damages, penalties, costs, and expenses arising from:
- Installation or execution of Products
- Failure to obtain approvals or certifications
- Acts or omissions of contractors, installers, consultants, or third parties
- Use of Products outside their tested or intended scope
13. Force Majeure
The Supplier shall not be liable for delay or failure caused by events beyond reasonable control, including acts of God, government actions, supply chain disruptions, strikes, or regulatory changes.
14. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by the laws of India. Courts at Mumbai, Maharashtra, shall have exclusive jurisdiction.
15. Acceptance of Terms
Placement of an online order, sending a purchase order, acceptance of material delivery, or payment for a quote sent by Aural Exchange shall constitute unconditional acceptance of these Terms & Conditions, notwithstanding any contrary terms in the customer’s documents unless expressly agreed in writing by the Supplier.
By purchasing or specifying the product, the customer acknowledges and agrees to these terms and accepts full responsibility for regulatory compliance and statutory approvals. Aural Exchange shall not be held liable for property damage, personal injury, or loss arising from improper selection, installation, use, or non-compliance with applicable codes, standards, or approvals.
